1. PARTIES AND SERVICES

  • WordPress website hosting services
  • Website maintenance and updates
  • Security monitoring and management
  • Business email services (subject to separate Email Terms of Service)
  • Monthly custom site editing services (2 hours included)

2. SCOPE OF SERVICES

2.1 WordPress Hosting Services

  • Reliable web hosting optimized for WordPress
  • Server maintenance and security updates
  • Daily automated backups (14 days of backups stored on remote secure servers)
  • SSL certificate management
  • Domain name management (if applicable)
  • 99.9% uptime commitment (excluding scheduled maintenance)

2.2 Website Maintenance Services

  • WordPress core updates
  • Plugin updates and compatibility testing
  • Theme updates and maintenance
  • Security monitoring and malware scanning
  • Performance optimization
  • Broken link monitoring and repair
  • Database optimization
  • Spam comment removal
  • Routine website and server updates are conducted twice a week. A record of work completed can be provided up request.
  • Critical updates are done within 6 hours of notification of security vulnerabilities.

2.3 Monthly Custom Site Edits (Included)

  • 2 hours per calendar month of custom requested site modifications
  • Content updates and additions
  • Minor design adjustments
  • New page creation
  • Image uploads and optimization
  • Text and content changes
  • Basic functionality modifications

Important: Monthly edit hours do NOT roll over to subsequent months. Unused hours expire at the end of each calendar month.

2.4 Business Email Services

  • Professional email addresses using your domain
  • Email hosting and management
  • Basic email setup and configuration
  • Subject to separate Email Terms of Service agreement

3. SERVICE EXCLUSIONS

3.1 Not Included in Maintenance

  • Major design overhauls or redesigns
  • Custom plugin development
  • E-commerce functionality modifications
  • Third-party service integrations unless agreed upon in writing.
  • Advanced customizations requiring more than 2 hours per month
  • Emergency weekend or holiday support (unless pre-arranged)

3.2 Additional Services (Billed Separately)

Services exceeding the 2-hour monthly limit will be billed at:

  • Hourly Rate: $25 per hour. Each separate request after the included two hours will incur a min charge of $25.
  • Minimum Billing: 1 hour.
  • Rush Jobs: Additional 50% surcharge for same-day requests

4. CLIENT RESPONSIBILITIES

4.1 Content and Access

  • Provide necessary login credentials and access
  • Maintain current backups of critical data
  • Provide content, images, and materials in web-ready formats
  • Respond promptly to requests for information or approvals

4.2 Website Usage

  • Use hosting services for lawful purposes only
  • Maintain reasonable resource usage (bandwidth, storage)
  • Notify Provider of any security concerns or issues
  • Keep contact information current

4.3 Custom Edit Requests

  • Submit edit requests via email or designated system
  • Provide clear, detailed descriptions of requested changes
  • Supply all necessary materials (text, images, etc.)
  • Allow reasonable time for completion (typically 3-5 business days)

5. BILLING AND PAYMENT TERMS

5.1 Service Fees

  • Monthly Hosting & Maintenance: $[Insert Amount]
  • Business Email (if applicable): $[Insert Amount]
  • Setup Fee (one-time): $[Insert Amount] (non-refundable)

5.2 Payment Schedule

  • Services billed monthly in advance
  • Payment due within 30 days of invoice date
  • Late payments subject to $25 late fee after 30 days
  • Services may be suspended for accounts 60+ days overdue

5.3 Additional Work

  • Custom work exceeding 2 monthly hours billed separately
  • Additional work requires written approval before commencement
  • Payment for additional work due within 15 days

5.4 Payment Methods

  • Accepted: Check, Credit Card, PayPal, Bank Transfer
  • Automatic recurring billing available
  • Client responsible for keeping payment methods current

6. CONTRACT TERMS

6.1 Contract Period

  • Initial Term: 12 months from effective date
  • Renewal: Automatically renews for successive 12-month terms
  • Cancellation: 30 days written notice required

6.2 Cancellation Policy

  • Client may cancel with 30 days written notice
  • Prepaid fees are non-refundable except for Provider failure to deliver services
  • Website files and data provided upon request within 30 days of cancellation
  • Domain registration transfers require separate arrangements

6.3 Early Termination

Provider may terminate this agreement immediately for:

  • Non-payment of fees
  • Violation of acceptable use policies
  • Client breach of agreement terms
  • Illegal or harmful use of services

7. PERFORMANCE AND UPTIME

7.1 Uptime Commitment

  • 99.9% uptime guarantee (excluding scheduled maintenance)
  • Scheduled maintenance performed during off-peak hours when possible
  • Advanced notice provided for planned downtime exceeding 4 hours
  • Spry Web Tech is not responsible for uptime where websites are hosted on other servers not provided by Spry Web Tech.

7.2 Service Level Remedies

  • If uptime falls below 99.9% in any month, client receives:
    • 95-99.8% uptime: 10% service credit
    • 90-94.9% uptime: 25% service credit
    • Below 90% uptime: 50% service credit

7.3 Maintenance Response Times

  • Emergency security issues: Within 4 hours
  • Routine updates: Within 2 business days
  • Custom edit requests: 3-5 business days
  • Non-urgent maintenance: Within 1 week

8. DATA AND BACKUPS

8.1 Backup Policy

  • Daily automated backups retained for 30 days
  • Daily backups retained for 14 days.
  • Backups stored on separate secure servers

8.2 Data Recovery

  • Backup restoration included in service at no charge
  • Client responsible for testing restored data
  • No guarantee of recovery beyond available backup timeframes
  • Large-scale recovery may require additional time

8.3 Data Ownership

  • Client retains full ownership of website content and data
  • Provider maintains backups solely for service delivery purposes
  • Client data will be returned or deleted upon contract termination

9. INTELLECTUAL PROPERTY

9.1 Client Content

  • Client retains ownership of all provided content, images, and materials
  • Client grants Provider license to use materials solely for service delivery
  • Client warrants they have rights to all provided materials

9.2 Website Code and Customizations

  • Custom code developed specifically for Client becomes Client property (billed separately and is not included in this service agreement)
  • Standard WordPress themes and plugins remain under their respective licenses
  • Provider retains rights to general methodologies and techniques

10. LIMITATION OF LIABILITY

10.1 Service Limitations

Spry Web Tech’s liability is limited to:

  • Direct damages not exceeding total fees paid in the preceding 12 months
  • Remedy through service credits or refunds as specified in this agreement

10.2 Excluded Damages

Provider is not liable for:

  • Lost profits, data, or business opportunities
  • Indirect, incidental, or consequential damages
  • Damages resulting from third-party actions or force majeure
  • Issues arising from Client’s content, actions, or modifications

10.3 Third-Party Services and/or Premium Plugins or Software

  • Provider not responsible for failures of third-party services
  • WordPress, plugin, and theme issues beyond Provider’s control
  • Internet service provider or domain registrar issues
  • Client must provide a valid license for all premium third-party plugins not agreed upon in writing.

11. SECURITY AND CONFIDENTIALITY

11.1 Security Measures

  • Industry-standard security protocols and monitoring
  • Regular security updates and patches
  • Malware scanning and removal
  • SSL certificates for secure data transmission

11.2 Confidentiality

  • Provider maintains confidentiality of Client’s business information
  • Access credentials and sensitive data protected
  • No disclosure to third parties without Client consent (except as legally required)

12. FORCE MAJEURE

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.

13. DISPUTE RESOLUTION

13.1 Governing Law

This agreement is governed by the laws of Iowa, United States.

13.2 Dispute Process

  • Good faith negotiation required before legal action
  • Disputes resolved in courts of Scott County, Iowa
  • Prevailing party may recover reasonable attorney fees

14. GENERAL PROVISIONS

14.1 Entire Agreement

This agreement constitutes the entire agreement between parties and supersedes all prior agreements or understandings.

14.2 Modifications

Agreement modifications must be in writing and signed by both parties.

14.3 Severability

If any provision is deemed unenforceable, the remainder of the agreement remains in effect.
