1. ACCEPTANCE OF TERMS
By signing this agreement and activating business email services with Spry Web Tech, you (“Client,” “Customer,” or “you”) agree to be bound by these Terms of Service. These terms govern your use of business email services provided by Spry Web Tech through our email infrastructure partner, MXRoute LLC.
2. SERVICE DESCRIPTION
Spry Web Tech provides business email hosting services including but not limited to:
- Professional email addresses using your domain
- POP3, IMAP, and SMTP access
- Email storage and management
- Basic technical support for email configuration
Email infrastructure services are provided through MXRoute LLC, and clients must comply with both Spry Web Tech and MXRoute policies.
3. ACCEPTABLE USE POLICY
Prohibited Activities
All services may be used for lawful purposes only. The following activities are strictly prohibited:
- Spam and Unsolicited Email: Outgoing spam will not be tolerated. Spam is defined as unsolicited email. All mailing lists must be double opt-in, requiring recipients to sign up and verify their email address.
- Illegal Content: Transmission, storage, or presentation of any information, data, or material in violation of any United States federal, state, or local law.
- Copyrighted Material: Unauthorized use of copyrighted material, material deemed threatening or obscene, or material protected by trade secrets.
- Malicious Activities: Use of services for phishing, malware distribution, or other malicious purposes.
Compliance Requirements
- Clients must maintain accurate billing and contact information
- All email marketing must comply with CAN-SPAM Act requirements
- Clients are responsible for securing their email accounts and passwords
- Proper DNS configuration is the client’s responsibility
4. BILLING AND PAYMENT TERMS – (Email service provided free of charge with a Hosting and Management package)
Payment Schedule
- Services are billed on an annual basis.
- Payment is due within 30 days of invoice date
- Late payments may result in service suspension
Payment Methods
- Accepted payment methods include major credit cards and PayPal
- Automatic recurring billing is available and recommended
- Client is responsible for ensuring sufficient funds for automatic payments
Fees and Charges
- Setup fees (if applicable) are non-refundable
- Monthly service fees are as quoted in your service agreement
- Additional charges may apply for excessive support requests or policy violations
5. REFUND AND CANCELLATION POLICY
Refund Policy
- No refunds are provided as email server space is purchased in advance for the Client.
- Exceptions may be made where Spry Web Tech fails to deliver promised services
- Setup fees are non-refundable under all circumstances
- Refunds are forfeited in cases of policy violations
Cancellation Process
- Account cancellations require 30 days written notice
- Cancellations may take up to 72 hours to process
- No refunds for unused portions of prepaid services
- Clients should plan accordingly for service termination timing
Chargebacks and Disputes
- Payment disputes should be directed to Spry Web Tech first
- Opening a chargeback without contacting us first may result in:
- Immediate service termination
- $50 chargeback processing fee
- Forfeiture of all refund rights
6. SERVICE LEVEL AGREEMENT
Service Definition
Functional service includes:
- Ability to send email without triggering spam filters or rate limits
- Ability to receive incoming email
- DNS configuration issues are not considered service failures
- Configured to personalize email with your business domain.
- Only 1 domain per service agreement.
7. LIMITATION OF LIABILITY
Service Limitations
Spry Web Tech and MXRoute LLC shall not be responsible for:
- Claimed damages from servers going offline or being unavailable
- Incidental or consequential damages from service interruptions
- Corruption or deletion of files or emails
- System downtime, crashes, or data loss
- Loss of predicted profits due to service issues
Damage Limitation
All damages shall be limited to immediate termination of service. Clients agree to indemnify and hold harmless Spry Web Tech from any claims resulting from use of services.
8. ACCOUNT TERMINATION
Immediate Termination
Spry Web Tech reserves the right to terminate accounts immediately for:
- Non-payment of fees
- Policy violations
- Spam or abuse complaints
- Providing false billing information
- Any reason deemed necessary by Spry Web Tech
Termination Process
- Account termination results in immediate loss of email access
- All email data may be permanently deleted upon termination
- No advance notice required for policy violations
- Terminated accounts forfeit all refund rights
9. SPAM AND ABUSE POLICIES
Spam Violations
- Intentional spam will result in immediate account termination
- Clients may be reported to FraudRecord.com for intentional violations
- Intentional unsolicited marketing emails will be billed at $1 per email
- Client information may be shared with anti-spam organizations
Abuse Reporting
- Policy violations should be reported to: [your-abuse@email.com]
- All complaints will be investigated promptly
- Clients are expected to cooperate with abuse investigations
10. TECHNICAL SUPPORT
Support Scope
- Basic email configuration assistance
- Account setup and billing inquiries
- Service status and uptime issues
- DNS configuration guidance (limited)
Support Limitations
- Advanced email client configuration beyond basic setup
- Third-party software troubleshooting
- Custom email solutions or modifications
- 24/7 emergency support not guaranteed
Support Channels
- Primary: Email support ticket system
- Secondary: Scheduled phone consultations (by appointment)
- Response time: 24-48 hours for non-urgent matters
11. DATA PROTECTION AND PRIVACY
Data Handling
- Client email data is stored on secure servers
- Emails are encrypted in transit via SSL/TLS
- We do not read, scan, or analyze email content for advertising
- Backup policies are maintained but not guaranteed
Privacy Policy
- Client information is protected according to our Privacy Policy
- We do not sell or share client data with third parties
- Law enforcement requests will be handled according to applicable laws
- Clients are responsible for their own email content compliance
12. RESELLER TERMS
Third-Party Services
- Email infrastructure is provided by MXRoute LLC
- Certain equipment, routing, and software are not directly owned by Spry Web Tech
- Clients acknowledge the involvement of third-party providers
- MXRoute’s Terms of Service also apply to email services
Service Dependencies
- Service availability depends on third-party infrastructure
- Spry Web Tech acts as an intermediary for email services
- Direct relationships with MXRoute may be required for certain issues
13. MODIFICATIONS TO TERMS
Updates and Changes
- Spry Web Tech reserves the right to modify these terms at any time
- Material changes will be communicated via email or account notices
- Continued use of services constitutes acceptance of modified terms
- Clients may cancel services if they disagree with changes
14. GOVERNING LAW
Legal Jurisdiction
- These terms are governed by the laws of Iowa, USA
- Any disputes will be resolved in the courts of Iowa, USA
- Both parties consent to jurisdiction in these courts
- Prevailing party in legal disputes may recover attorney fees
